RULES OF CONDUCT AND CODE OF ETHICS

It is important that you read NATUIR’s Code of Ethics (“Code”) and Rules of Conduct (“Code”), as they form an integral part of the Terms and Conditions upon registration in the NATUIR Commercial Program (the NATUIR Partner Program for Members) and while continuing to remain in the NATUIR Commercial Programs until termination of membership in it. The NATUIR Partner of products and business NATUIR (hereinafter referred to as “Partner” or “NATUIR Partner”) must agree to the Code and Rules and all changes published on the NATUIR website, or published in the newsletter, or communicated to the Partner in another way. NATUIR reserves the right to immediately and at any time terminate the membership of a Partner who provides false information in the application form or abuses the Code or Regulations. Partners whose membership number has been terminated lose all rights and benefits of membership, including their network. The Code and Rules are intended to protect you, and we want to ensure that all NATUIR Partners will act according to the same high standards NATUIR. In accordance with NATUIR’s ethical standards, all Partners are expected and required to comply with all legal obligations of the country in which they do business, even if some obligations are not specified in the Code or Rules.

NATUIR BRAND’S AND COMPANY’S CODE OF ETHICS

As an NATUIR Partner, I agree to conduct my business with NATUIR as follows:

1. I will follow and enforce the rules set forth in this Official Rules, Code and other NATUIR literature. I will consider not only the “word” but also the “spirit” of the Rules.

2. My guiding principle for doing business is to treat all people I meet as a NATUIR Partner as I would want to be treated myself.

3. I will conduct NATUIR product presentations, NATUIR earning opportunities, related training and other opportunities and benefits that Brand NATUIR offers to clients and NATUIR Partners in an honest and credible manner. I will provide written or verbal information only in relation to the products, earnings and other opportunities mentioned in the official NATUIR literature (including Annex 1).

4. I will act respectfully and without hesitation when performing services, accepting orders from customers and resolving complaints. If any controversial issues arise, exchange or return of NATUIR products, I will follow the procedures outlined in the official NATUIR literature.

5. I will accept and carry out the prescribed responsibilities of an NATUIR Partner (and those assigned to me upon promotion by my NATUIR Sponsor (Mentor) or of a higher Rank (leader and superior) as defined in official NATUIR literature.

6. I will conduct myself in a way that reflects integrity, honesty and responsibility to the greatest extent possible.

7. Under no circumstances will I use the NATUIR network to market other products or services not approved by NATUIR. I will adhere to the method of consulting regarding business NATUIR or/and products NATUIR, or/and a direct-to-customer distribution method and will not sell products through any retail stores.

8. I will comply with all laws and regulations of the country where I work as an NATUIR Partner and host countries if I am establishing an international group.

9. I understand that compliance with this Code and Regulations is a condition for my membership in NATUIR.

NATUIR CODE OF CONDUCT

1. DEFINITIONS

a) “NATUIR Partner” or “NATUIR Member” for the purposes of this document includes all NATUIR Partners regardless of title, level and rank (including Team Leaders).

b) “Regional Website” means a website designed, published and hosted by NATUIR for the benefit of an NATUIR Partners in selected markets.

c) “NATUIR” in this document refers the global and local NATUIR business unit through which you completed the NATUIR Partner application form, unless otherwise stated.

d) “Sponsor line” (line of Mentors) includes the NATUIR Partner, his Sponsor (Mentor), etc. along the line ending with NATUIR.

e) “NATUIR Group” it is a Structure of Partners includes all NATUIR Partners directly or indirectly sponsored by a NATUIR Partner.

f) “NATUIR Literature” includes the NATUIR Compensation Plan, publications NATUIR (including this Rules), printed materials with information of products, newsletter and all other information printed or published on the official website of NATUIR.

g) “Sponsor” means Mentor, a person – who is the NATUIR Partner, and introduces a new person to the products, opportunities and details of doing business with NATUIR.

Words capitalized in the original but not defined here have the same meaning as in the preceding chapters and Compensation Plan.

2. MEMBERSHIP

2.1 As a general rule a candidate for membership as a NATUIR Partner must be introduced to work by a registered NATUIR Partner (Member). In special circumstances (conditions determined by NATUIR), NATUIR may assign a prospective NATUIR Partner to any NATUIR Group.

2.2 Each individual may have only one membership in NATUIR, which may be direct or indirect. Indirect membership is membership obtained by owning shares in a company registered as an NATUIR Partner.

2.3 NATUIR reserves the right to refuse any application for membership or re-membership.

2.4 The applicant to perform the activity of an NATUIR Partner must be of legal age. NATUIR may, at its sole discretion, accept other applicants with the written permission of the authorized management of the company managing the NATUIR brand or the authorized administrator.

2.5 Membership may be granted to individuals, as well as limited liability companies or partnerships, only when the parties to the contract are spouses or parents and child/children, and where NATUIR has previously approved the transfer of the business process.

The legal entity must provide the name of the person authorized to act on its behalf, as well as any limitations on those powers. Partners are mutually responsible and NATUIR may demand payment from one or all participating partners in case of non-payment, as well as any risks incurred as a result of the activities of such partners.

2.6 A NATUIR Partner may withdraw from their membership any time by giving written notice to NATUIR. NATUIR shall not be liable to reimburse the costs/expenses incurred in connection with such membership or compensation for profits lost as a result of cancellation of such membership.

2.7 Membership expires on the anniversary of registration. The first month of Membership in NATUIR is the month in which the NATUIR Partner made his order in the amount of the minimum volume (which is determined by NATUIR in the NATUIR Literature), and the last month of the partnership is the twelfth month. If a NATUIR Partner does not place a personal order in the amount of the minimum volume (as determined by NATUIR in the NATUIR Literature) for one year, then his NATUIR Membership is canceled at the end of the twelfth month. However, NATUIR does not bear any responsibility for reimbursement of costs/expenses incurred in connection with such membership or for compensation of profits lost as a result of termination of such membership.

2.8 Membership may be renewed by making a personal order of NATUIR products of a minimum volume or more (as defined by NATUIR in the NATUIR Literature) during the twelfth month of NATUIR Membership.

2.9 If the spouse of a NATUIR Partner wishes to become a NATUIR Partner, both spouses must be either under joint membership (sponsorship) under the same membership number (also in the form of a limited liability company or partnership), or as a separate spouse or husbands, to the first level (lower level) of “Sponsor line” to the one who previously became a NATUIR Partner. If a spouse joins under a separate Membership, any bonus money earned by the spouse will be deducted from the higher bonus money of the spouse who joined first – if such bonus money is the result of the spouse’s Membership being canceled for any reason joined to a lower level.

If spouses are in joint Membership (sponsorship) under the same membership number, but are not a limited liability company or partnership, then only one of such spouses (the one that was indicated in the first line for the first and last name in the application form of NATUIR Member/Partner) is a valid NATUIR Partner, bears all risks and responsibilities associated with acting as a NATUIR Partner and may count due remuneration under the Compensation Plan as a result of his activities as only one of NATUIR Partner. However, the second spouse, on an equal basis with the first, must comply with these Rules and will be mentioned in the NATUIR Literature, recognized upon achieving Leadership Ranks in the form of relevant Certificates and Rank Badges, unless otherwise indicated/announced in the NATUIR Literature.

In the event that one of the spouses of NATUIR Partners holding joint Membership (sponsorship) under the same membership number decides to terminate NATUIR Membership, then all rights to entitlements under the Compensation Plan, as a result of activities as a NATUIR Partner, as well all risks and liabilities arising from as a result of such activities, transfer to the spouse who remains a NATUIR Partner (Member).

2.10 Former NATUIR Partners (or spouses of former NATUIR Partners) may apply for new Membership under the following conditions:

a) At least six months have passed since the previous Membership was canceled by termination (unless otherwise agreed with NATUIR).

b) The new application must state that it complies with these Regulations.

c) A former NATUIR Partner may immediately re-apply for Membership without indicating that he was a NATUIR Partner if his Membership has been terminated due to inactivity of at least 12 months, where the termination is due to non-renewal of Membership.

2.11 NATUIR has the right to terminate the Membership of a NATUIR Partner for any breach of the Code of Ethics and/or Code of Conduct.

2.12 NATUIR reserves the right to suspend the membership of a

NATUIR Partner for up to 12 months with immediate effect for the purposes of investigations into violations of the Rules.

3. MAINTENANCE OF THE “SPONSOR LINE” (Line of Mentors)

3.1 NATUIR Partners may only re-register in another sponsorship line if they resign from their Membership and apply for a new one under point 2.10. If they quit, they lose their entire NATUIR Group, which transfers to their original sponsor.

3.2 NATUIR Partner who has not completed an order for four consecutive months, which is defined by NATUIR as the minimum order for a Partner, loses his NATUIR Group. His group joins to their original sponsor. However, a partner who has lost his NATUIR Group membership, in accordance with this clause, remains as a NATUIR Partner until the automatic expiration of the period of 12 months, in accordance with clause 2.7 Code of ethics. NATUIR does not bear any responsibility for reimbursement of costs/expenses incurred in connection with the loss of NATUIR Group by such Partner, as well as for compensation of profits lost as a result of the loss of his Group.

3.2 The transfer of membership from one person to another is possible only in special cases and at NATUIR’s sole discretion.

3.3 NATUIR Partners who wish to transfer their membership may do so, but only to their next of kin (at NATUIR’s discretion). They must send a membership transfer request to NATUIR. NATUIR Partners who have transferred their membership in accordance with these Regulations may reapply for membership if at least six months have passed since their last membership transfer.

3.4 In the event of the death of a NATUIR Partner, the membership is terminated within three months of the date of death, if the company does not receive a request to transfer membership from the next of kin in accordance with point 6.4. Upon termination of membership, all payments owed by NATUIR to the deceased will be made to the legal heir or heirs of a NATUIR Partner. NATUIR reserves the right to require proof of inheritance from the legal heir or heirs as a condition for payment.

3.5 The transfer of the Group or part of the Group is not allowed.

4. OBLIGATIONS OF THE NATUIR PARTNER

General obligations

4.1 When applying for Membership, NATUIR Partners must comply with all laws, regulations and codes of conduct, including tax laws and regulations regarding tax filing and administration. NATUIR Partners must not engage in any activity that could bring themselves or NATUIR into disrepute.

4.2 NATUIR Partners must take appropriate steps to ensure the protection of all private information provided by a Client, Prospective Client and other NATUIR Partner in accordance with local laws applicable to privacy and data protection.

Liabilities to customers

4.3 NATUIR Partners must not engage in misleading, deceptive or unfair practices.

4.4 A NATUIR Partner must introduce himself and explain his purpose of approaching a potential client or the purpose of the opportunity upon first contact with the client. A NATUIR Partner must ensure full transparency of their representation as a NATUIR Partner in any related communication via email, website, social media, etc. It is necessary to provide the name, contact information and information that the sender is not an official representative of NATUIR. When presenting the sender, such as the signature in e-mails, business cards, websites, social networks, etc. “NATUIR Partner” must always be preceded by “Independent”.

4.5 NATUIR Partners must provide customers with accurate and complete product explanations and presentations regarding price, payment terms and delivery time ; and where possible: cooling-off periods, including returns; warranty conditions; after-sales services. NATUIR Partners must provide accurate and understandable answers to all customer questions.

4.6 To the extent that claims relate to product performance, a NATUIR Partner shall only make such oral or written claims approved by NATUIR.

4.7 NATUIR Partners must not use any statements or testimonials that are unauthorized, untrue, out of date or otherwise useless, unrelated to the offer or used in any way that could mislead a potential customer.

4.8 NATUIR Partners must not use comparisons that are misleading. The comparison must be based on facts that can be substantiated. NATUIR Partners may not unfairly defame any other company, business or product. NATUIR Partners must not take unfair advantage of the goodwill associated with the trade name and symbol of another company, company or product.

4.9 NATUIR Partners must honor the Customer’s decision to cancel the order within a locally determined cooling-off period and if required by local law, and return goods already delivered in exchange for a refund for goods that can be resold as new. When the customer requests that the NATUIR satisfaction guarantee be fulfilled, the NATUIR Partner must offer the customer the choice of a full refund of the purchase price or an exchange with the same or another NATUIR product. Information about the cooling-off period and NATUIR’s satisfaction guarantee must be clearly communicated to customers.

4.10 A NATUIR Partner will contact customers in person, by telephone or electronically, in a reasonable manner and at a reasonable time to avoid intrusiveness. A NATUIR Partner will interrupt a demonstration or sales presentation at the customer’s request.

4.11 The information provided to the customer by the NATUIR Partner must be provided in a clear and understandable manner, taking into account the principles of good faith in commercial transactions and the principles of protecting those who cannot give their consent in accordance with national law, such as minors .

4.12 NATUIR Partners must not exploit the trust of individual clients and must respect their lack of trading experience, nor exploit the client’s age, illness, mental or physical illness, credulity, lack of understanding or lack of knowledge of the client’s language.

4.13 NATUIR Partners must not encourage a person to purchase Products on the basis that the Customer may reduce or refund the purchase price by referring potential customers to a NATUIR Partner for similar purchases, if such reductions or refunds are contingent on some future event.

4.14 NATUIR Partners must fulfill orders received in a timely manner.

Obligations to other NATUIR Partners

4.15 NATUIR Partners must not steal a personal data or registration forman applicant from other NATUIR Partners, nor ask a NATUIR Partner to sponsor another NATUIR Partner.

4.16 A NATUIR Partner shall not misrepresent the actual or potential earnings of NATUIR Partners. Any presentation of earnings must be: (a) true, accurate and presented in a manner that is not false, misleading or deceptive, and (b) based on documented and substantiated facts in the relevant market. Prospective NATUIR Partner must: (c) be advised that actual earnings will vary from person to person and will depend on the salesperson’s skill, time and effort invested and other factors and; (d) they must be provided with sufficient information to enable them to make a reasonable assessment of their earning potential.

4.17 A NATUIR Partner will not charge other NATUIR Partners or potential Partners for any materials or services not developed / approved by NATUIR, except to cover costs directly related to optional training or meetings conducted by a NATUIR Partner.

All marketing materials developed by NATUIR Partners must comply with NATUIR policies and procedures. Partners who sell approved, legally permitted promotional or educational materials to other Partners: (i) must only offer materials that comply with the same standards as NATUIR, (ii) are prohibited from soliciting the purchase of such materials from others Partners; (iii) provide sales assistance at a reasonable and fair price, without greater profit for the NATUIR Partner, equivalent to similar material available on the market; and (iv) offer a written return policy identical to NATUIR’s return policy.

4.18 NATUIR Partners shall only contact other Partners in a reasonable manner and at a reasonable time to avoid intrusiveness.

4.19 NATUIR does not impose Partners to make monthly purchases, but may reward Partners for loyalty. A NATUIR Partner may not impose Sponsors/Mentors to order through them, to order minimum quantities or to maintain a stock of products. All NATUIR Partners can order any quantity directly from NATUIR, not lower than the minimum order established by NATUIR, however courier and handling charges may apply depending on the size of the order.

It is the sole discretion of the individual NATUIR Partner to stock products that reflect expected sales/consumption. A NATUIR Partner may not request or encourage other NATUIR Partners to purchase unreasonable amounts of products or sales assistance. A NATUIR Partner must have such stock as he can reasonably expect to use.

4.20 NATUIR Partners may not use the NATUIR Network to market materials, products or schemes that have not been officially approved by NATUIR and that do not comply with NATUIR policies and procedures.

4.21 NATUIR Partners must not unfairly defame another company’s products, its sales and marketing plan or any other characteristic of another company.

4.22 NATUIR Partners are not employed by NATUIR. When presenting an NATUIR business opportunity, Partners must clearly state the independent nature of this business and the fact that an employment relationship with NATUIR is not possible.

4.23 NATUIR Partners do not have the authority to bind or assume obligations on behalf of NATUIR. NATUIR will be reimbursed for any costs or damages arising from non-compliance with this Policy.

4.24 A NATUIR Partner may not place orders on behalf of another NATUIR Partner without their prior written consent.

4.25 When building their Group, NATUIR Partners must ensure that all new NATUIR Partners adhere to all terms of payment for orders.

4.26 When a NATUIR Partnert becomes a Sponsor/Mentor, he must provide training and motivation to the NATUIR Partners under his sponsorship.

4.27 A NATUIR Partner may not give interviews or refer to NATUIR in the media, including television, online, radio, magazines, etc., without the written permission of NATUIR. nor exploit any advertising medium (including viral advertising via text messages, web, etc.) for the purpose of marketing your business activity with NATUIR.

4.28 NATUIR Partners must not engage in social media conversations that misrepresent or convey incorrect or misleading information about NATUIR, its products or services, or generally spread a bad word about NATUIR. Check out the chapter on “Rules for building Social Media Communication”.

5. OTHER RULES AND POLICIES

5.1 There are no exclusive areas or franchises under these NATUIR Rules. No NATUIR Partner has the authority to grant, assign, sell or transfer such territory or franchise. Each NATUIR Partner is free to conduct his business in any area of the country in which he is registered.

5.2 A NATUIR Partner must take into account the fact that NATUIR operates in certain markets and not in all countries of the world, must strictly comply with its obligations regarding product safety and registration, importation of products and other rules that may be related to trading in certain countries countries. NATUIR assumes no responsibility for damage, disputes or claims arising out of or related to cross-border trading conducted by NATUIR Partners outside of markets where NATUIR is present. Therefore, the NATUIR Partner is fully responsible for such claims.

5.3 A NATUIR Partner works independently from NATUIR. The only title he may use on business cards, other printed material or when communicating via e-mail is “Independent NATUIR Partner” or “Independent Partner of NATUIR”.

5.4 A NATUIR Partner may use promotional materials, their Personal NATUIR shop and any social media applications provided by NATUIR in accordance with the Terms without further permissions. It is understood that NATUIR Partners may not register or host a website or webpage with a domain name that includes the word “NATUIR”.

NATUIR Partners may redirect visitors to official NATUIR websites, blogs and the like. NATUIR reserves the right to pre-approve materials to be published. The rules regarding the online presence of NATUIR Partners are detailed in the website NATUIR Partner rules below (Appendix 2).

5.5 NATUIR trademarks, logos and the NATUIR name are the property of Slovanski Grand d.o.o. and may not be used by the Partner in printed materials or published online without the written permission of NATUIR. If the Partner obtains such permission, he must use the trademarks and logos in accordance with the provisions of the NATUIR guidelines.

5.6 No NATUIR Partner shall manufacture or obtain any products bearing any printed or displayed trademarks or logos through any source other than NATUIR, except with the written permission of NATUIR.

5.7 All NATUIR printed materials, videos, photographs and designs are copyrighted and may not be copied in whole or in part either in print or online without the written permission of NATUIR. In the case of legally permitted use of material protected by copyright, it is mandatory to state in a clearly visible place that the owner of the copyright is NATUIR.

5.8 No NATUIR Partner may sell products of NATUIR in any retail store, online store or auction platform such as Ebay, Wildberries etc.. NATUIR literature may not be sold in such retail stores. In establishments that are not technically retail stores, such as beauty salons, product displays are permitted, but sales are permitted only on behalf of an independent NATUIR Partner..

5.9 The sale of NATUIR products in personal online stores of NATUIR Partners is permitted only with the prior written permission of NATUIR. At the same time, it is prohibited to sell products below the specified retail price for the Client, recommended on the official website of NATUIR.com, or to make product promotions, discounts and sales of NATUIR products on such sites. If these rules are not observed, the NATUIR Partner, who owns such an online store, will be terminated from NATUIR without the right to compensate for losses incurred as a result of termination, as well as without the right to compensate for the NATUIR Partner’s lost monetary income or other benefits as a result of this termination.

5.10 The contents of the NATUIR websites, such as text, graphic content, photographs, designs and programs are also copyrighted and may not be used for commercial purposes without the prior written permission of NATUIR.

5.11 Spamming (abuse of an electronic messaging system to blindly send unsolicited bulk messages) is expressly prohibited. A NATUIR Partner must limit the number of promotional emails sent to end customers to a maximum of one email per week for each individual recipient. These messages are not permitted to be sent on behalf of NATUIR and the content is the sole responsibility of the sender.

5.12 No person is under any circumstances authorized to transform or alter the packaging or labeling of the products in any way. NATUIR products may only be sold in their original packaging.

5.13 If NATUIR products are used in accordance with their intended purpose and the accompanying instructions, they do not cause damage or injury.

5.14 NATUIR reserves the right to revoke any discount or bonus due to a NATUIR Partner in the event of unauthorized use by that Partner or other Partners of a referral link or discount coupons.

5.15 NATUIR reserves the right to change prices and offers without prior notice. NATUIR will not recognize a performance discount, bonus or other compensation for any loss due to a price change, offer change or when the product is out of stock.

5.16 If, after termination of his membership in NATUIR, the Partner still has NATUIR products, then NATUIR does not accept from such Partner the products that he purchased during his membership in NATUIR, unless otherwise provided by the legislation of the country in which the NATUIR Partner was registered. If this is provided for by local legislation and the NATUIR Partner requests it, then – from the original net price paid and after deducting any discounts, bonuses or cash prizes paid to the network, 90% will be returned; and – the returned products must be currently sold by NATUIR, including any promotional materials, accessories or kits offered for sale by NATUIR, and – the products have not been used, opened or otherwise modified; and – their validity period has not expired.

5.17 If a NATUIR Partner is in any way legally or otherwise involved in any dispute or activity that may involve or adversely affect NATUIR or its reputation, the NATUIR Partner must notify the Company immediately.

5.18 NATUIR reserves the right to expand or amend the NATUIR Compensation Plan, the Qualification Criteria for NATUIR Ranks or the Code and Regulations with immediate effect.

6. RIGHTS AND OBLIGATIONS OF PERSONS WHO HAVE ACHIEVED LEADERSHIP NATUIR RANKS AND HIGH NATUIR RANKS

In addition to the basic rules that apply to all NATUIR Partners, the following rules apply specifically to “Diamond” and higher Ranks. Violation of any of these specific rules will result in the immediate termination of “Diamond” status and any associated special privileges, including any award – membership may also be terminated.

6.1 As a Diamond (or a person in a higher Rank), you must be available to the Partners in your NATUIR Group in each cflculation period by: a) membership and continuous development of the Group; b) helping, guiding and motivating members of the Group; c) holding regular meetings for training, motivating, setting goals and checking performance; d) training lower ranks NATUIR Partners and other NATUIR Partners of the NATUIR Brand and Company to do business with the NATUIR Company to the best extent possible; e) maintaining frequent communication, informing about the dates and places of meetings, providing news about products, training, etc.; f) participation in all seminars and meetings held organized by NATUIR in his region; g) following the Code and Regulations and setting an example;

h) participation in business meetings with the NATUIR company, to which you are invited by your regional management or company management.

6.2 NATUIR Partner in Diamond Rank may not represent (and/or be a member of) any other direct selling company with similar products. Partners of NATUIR in Rank Diamond 1 carat (and persons in higher Ranks) may not represent (and/or be a member of) any other direct selling company, regardless of what products that company offers.

6.3 If the spouse of a Diamond 1 carat (or a person in a higher Rank) is a representative and/or member of any other direct selling company, the spouse may not participate in any activities (meetings and events) of NATUIR, and his activities must be separate from NATUIR. Where the spouse is a representative and/or member of any other direct selling company, the Diamonds 1 carat (or persons in a higher Rank) must inform NATUIR.

6.4 In the event of the death of a Diamond (or a person in a higher Rank), the membership may be transferred to the nearest relative of the deceased in accordance with the laws of the country concerned. A written application for membership must be submitted within three months of the date of death. When such a request is not made, the membership is terminated. For clarity, the Legal Beneficiary must agree to and abide by the terms and conditions applicable to the NATUIR Partner.

6.5 Diamond (and any person of higher Rank) must comply with any additional rules or instructions received from NATUIR in writing, sent by email or published on the official NATUIR Website from time to time.

7. COMPLAINT RESOLUTION PROCEDURE

Any complaints related to violations of the Code of Ethics or Code of Conduct should be directed to: the local NATUIR trade organization, or the NATUIR Regional Manager (Executive Director of the local NATUIR company), or the local NATUIR Ethics Committee, who are responsible for handling complaints in each local market ; if there is no regional representative office and local NATUIR company in the country, then complaints should be sent directly to the Ethics Commission of the NATUIR Global Office. letters should be sent to the email address: [email protected], with the note “Violation of the Code of Ethics”.

Annex 1

Communication Guidelines

WHAT IS ALLOWED WHEN APPROACHING A NATUIR CUSTOMER/POTENTIAL MEMBER/PARTNER:

IT IS ALLOWED:

– Identify yourself and NATUIR.

– Explain the purpose of your solicitation and the types of products offered by NATUIR.

– Try to answer all questions in an honest, truthful and understandable manner.

– present only those claims that are approved by NATUIR. Direct the client to the NATUIR Website where he can learn more about the product and its properties.

Respect privacy and other personal limitations a person may have (eg time, place, age, physical condition).

– If the client asks you to, stop explaining (and walk away).

– Collect and/or store personal data of customers or potential customers only when necessary and ensure that you handle and protect personal data in accordance with local privacy and personal data protection laws.

– Whenever you recommend NATUIR products:

– inform the customer about the correct price of the products, payment terms and delivery time;

– give your customer a written purchase order at the time of sale;

– inform the customer of his cooling-off period, when he can cancel the order within a specified time and the right to return the goods and refund for the delivered products that can be resold as new, if this is provided for by the rules of NATUIR and provided for by law;

– inform the customer about the product warranty, after-sales service and complaint handling procedures, if this is provided for by the rules of NATUIR and provided for by law.

When you have a presentation for potential Partners:

– Let them know that actual earnings will vary from person to person and will depend on the seller’s skill, time and effort invested, and other factors; and

– Give them enough information to make a reasonable assessment of the earning potential.

WHEN APPROACHING A CUSTOMER/POTENTIAL MEMBER OF THE NATUIR BRAND AND COMPANY, IT IS NOT ALLOWED:

NOT ALLOWED:

– Pressure the customer to buy products or join NATUIR – there is nothing wrong if they don’t; he/she can still come back to you if you left a professional impression and treated her fairly.

– Overestimate the product’s features – honestly and fairly present your experience with the product; always refer to the instructions for use or prospectus or other information submitted by the Company.

NOT ALLOWED:

– To overestimate facts about:

— about the use and characteristics of NATUIR products;

— about the earning opportunity offered by NATUIR (in terms of e.g. the time and ease of reaching the levels, the expected amounts earned at each level and in general the ease and likelihood of success – remember that everything depends on time and the effort that the individual is willing to put in and the individual’s personal abilities;

— about your own success and experience with NATUIR or use someone else’s statement of success that is untrue or misleading.

NOT ALLOWED:

– Lying, misleading, being aggressive, pushy or disrespectful.

– Hesitating to tell your contact if you don’t have or are unsure of the answer to their question. In such a case, please contact NATUIR support and/or to your Mentor/Sponsor to clarify the issue ; then return to your contact with the correct answer.

– Use personal data of customers, other NATUIR Partners and potential NATUIR members inappropriately or without the required authorization

– Making comparisons with other companies that are not based on facts that cannot be verified.

– Unjustifiably damage the reputation of another company.

– Encouraging a person to buy goods based on the representation that the person can reduce or refund the purchase price by referring other customers to you for similar purchases.

Annex 2

Rules for building Social Media Communication (Online Policy for Partners)

1. BACKGROUND

This policy explains how NATUIR Partners can design their online presence without interfering with NATUIR’s branding activities or violating copyright laws, rules and agreements.

2. GENERAL

Based on the official NATUIR Website, NATUIR offers its Partners the possibility of setting up a Personal Online Sales and various other centrally provided tools for selling and promoting NATUIR products and business opportunities online, using the referral links that each Member receives after registering in the NATUIR Commercial Program.

These referral links are currently the only approved digital tools where Partners can offer products for sale and display images and logos that are copyrighted by NATUIR.

Partners may also host own local websites on the official platform of the NATUIR website, which NATUIR may offer as a tool in the work of NATUIR Partners in some regions. where Partners communicate about NATUIR, its products and opportunities, as long as it is clearly stated that these are not official NATUIR websites. It should always be clear who is behind the website and relevant contact information should also be visible.

The Partner should communicate in his own words and may quote texts from NATUIR, but only if the source is clearly cited.

The Partner may not build online business sites where NATUIR products are sold or otherwise conduct e-commerce outside of approved NATUIR applications, without prior written permission from NATUIR (see clause 5.9 Business rules of NATUIR and Code of ethics).

3. DOMAIN NAME

Partners may not register domains containing the word ‘NATUIR’. The Partner must not register a page / group on social networks with a name and image that could mislead the consumer that it is an official NATUIR page / group:

– The name and image of a page or group on social networks (e.g. Facebook, VKontakte, Instagram) must clearly indicate that it is managed by an individual, e.g. Independent NATUIR Partner Gabriela with Gabriela’s own picture.

– A page or group on social networks must not be called e.g. “NATUIR Slovenia” with an official NATUIR picture, e.g. with logo or pictures.

4. DISCLAIMER OF LIABILITY

Partners who host their own websites and mention that they are part of NATUIR must clearly publish information that they are either

a) Independent NATUIR Partners and are not employees of NATUIR,

b) Independent NATUIR Partners, or

c) Independent NATUIR Partner in Diamond Rank (for example) (it must correspond to the real state of affairs according to the career ladder of the NATUIR Compensation Plan, depending on the Partner’s Rank at the current time, based on the results of the previous NATUIR calculation period).

This information must be clearly posted on the home page and below the disclaimer visible on all pages of the website. The name and contact information must also be available on the website or in the account information for the social network page.

If the Partner has a private website that is not affiliated with NATUIR, this policy is of course void.

5. CONTENT AND REFERENCES TO THE NATUIR BRAND AND COMPANY

Content from the official Website NATUIR may not be copied and published under the Partner’s own name. If a NATUIR Partner publishes official NATUIR content on their website from a domain owned by NATUIR, this must be clearly stated.

6. PICTURES

The NAUIR Partner may not publish static or moving image material from the official website NATUIR on his website. All image materials are protected by copyright and NATUIR has acquired the rights to use them. These rights are not extended to Natuir Partners who indicate the official NATUIR website as the source of a given image or video:

– Images of models or people, images of NATUIR products, moving pictures; videos etc: May be used with or without the sharing function as long as the place of origin is mentioned in a visible and unambiguous way (for example: “source: www.natuir.com 2024”). Any claims of third parties due to publications that do not comply with these Rules and addressed to NATUIR will be transferred to the NATUIR Partner.

7. NATUIR LOGO

The NATUIR logo may be used in the formats available on the official NATUIR websites, in the section with materials for Partners. The logo may not be modified or animated and may only be used in the header or footer of the page, as well as in email signatures in its original form.

8. SHARING ON SOCIAL NETWORKS

NATUIR encourages a presence on blogs, social networking sites and the like. Partners are encouraged to blog and leave comments on NATUIR products where they see fit, but must comply with Code of Ethics clause 1.3 regarding product claims. We recommend use the Partner’s referral link which is provided by NATUIR to the maximum extent possible to ensure correct display and source information.

9. MARKETING VIA ONLINE SEARCH ENGINES

Partners may carry out marketing through search engines such as Google Adwords, provided they comply with NATUIR’s online presence rules. Furthermore;

– The ad must clearly state that it was created by an Independent NATUIR Partner;

– the title must not give the impression that it is an official advertisement of NATUIR or that it has been approved by NATUIR in any way and;

– It is forbidden to use “NATUIR” as a keyword.

Please note that each buyer e.g. Adwords liable for any infringement against other trademark owners.

GROUP ORDERS AND DISCLAIMER

This guide for the formation of Group orders by Partners is an addition to the existing Rules.

If NATUIR Partners want to create a Group order consisting of several Partners’ orders, with delivery to one delivery address, then each Partner participating in this Group order must do the following:

1. Place your regular order. And when choosing a delivery method, the Partner must select the delivery method: “Group order”.

2. Pay for your order using the chosen method. Delivery charges will not be applied to this order.

3. Write down your order number (for example, #2777) and give this number to the Partner who will be responsible for receiving the Group order.

The Partner who is responsible for placing, paying and receiving a Group order must do the following:

1. Place your regular order, and when choosing a delivery method, this Partner must select the delivery method: “Group order”.

2. Pay for your order using the chosen method. Delivery charges will not be applied to this order.

3. In the delivery address field, indicate the exact delivery address for the Group order, which should contain the following data:

a) Name and Surname of the responsible Partner,

b) Country, city, postal code, street, house number and other address details.

c) Phone number in international format (For example, +111111111111)

d) Your email address.

4. In the “Order Notes” field you need to write: “Please attach to my order (and list all the order numbers that were given to you by the Partners participating in this Group order).”

For example, “Please add to my order: #2777, #2778, #2779, etc.”

And write us an email from your email, which you specified when placing your order, the same text, to the email address for Partners: [email protected]

Next, an invoice for payment for the delivery of this order will be sent to the e-mail of the responsible Partner from whom the application for the formation of a Group order was received.

Please note that:

1. Delivery of Group orders is only available to those countries where this option is open.

2. Payment for a Group order is only available for transfers from European bank cards. Payment for one Group order must be made in a single payment from one bank account to the NATUIR details intended for receiving such transfers. The amount of money charged for delivery of a Group order must match the amount of the invoice. The partner responsible for the Group order must independently pay all bank fees arising as a result of the transfer.

3. The Group order will not be generated and shipped until NATUIR receives confirmation of payment of the invoice for delivery of the Group order.

4. The cost of delivery of a Group order is determined based on the actual and volumetric weight of the parcel, taking into account all included NATUIR products.

5. All orders of Partners participating in a Group order will be placed in one parcel box. There are no separate parcel boxes for each Partner. A list of attachments will be included in the general parcel box of a Group order, indicating the order numbers contained in this Group order.

6. The Partner responsible for the Group order bears full responsibility to other partners for the distribution of the package contents with the Group order among the Partners participating in this Group order, and also bears full responsibility, according to the laws of the country in which this Partner/these Partners operate, for receipt and safety of the ordered NATUIR Products until the transfer of the corresponding NATUIR Products to the Partners participating in the Group order.

7. Partners wishing to place a Group order must not force other Partners to participate in Group orders. Participation in Group orders must be completely voluntary on the part of all participants. All arrangements regarding payment for the delivery of Group orders, their distribution and receipt, must be settled between the Partners participating in the Group order independently. NATUIR does not participate in these agreements between Partners and does not regulate such agreements.

8. Each Partner who wants to participate in a Group order must be clearly aware that he voluntarily entrusts, at his own risk, the receipt of his already paid order to another person. NATUIR does not bear any responsibility for the consequences resulting from excessive trust, deception, fraud and other illegal actions on the part of Partners participating in Group orders. NATUIR does not accept claims from Partners participating in a Group order arising as a result of unscrupulous or dishonest behavior of other Partners participating in a Group order.

However, NATUIR reserves the right to review cases of dishonest behavior of Group order Partners for compliance with the Code and to suspend the participation of Group order Partners as NATUIR Members, NATUIR Partners without compensation for losses incurred as a result of such suspension of Membership/Partnership or unfair behavior of Partners.

IMPORTANT! Starting from May 08, 2025, all group orders must be processed by the 5th of the following month. If NATUIR does not receive an email from the partner to the email address: “[email protected]” from the Partner responsible for receiving the group order, with the data for forming the group order by 24:00 on the 5th of each month, then, starting from the 6th, all orders not collected for group shipment will be considered not group orders. In this case, NATUIR will send the details and the amount to be paid for sending each order separately to each email specified in such orders. Until the amount required for shipment is received on the NATUIR bank account, the orders will not be sent. At the same time, all such orders will be processed and will be held in the warehouse until the money for sending each individual order is received.

LOYALTY PROGRAM NATUIR

Explanation

The NATUIR Loyalty Program from August 1, 2025 is valid for Partners who make their first order in the new Loyalty Program cycle in August 2025 and later and/or the fifth order with the receipt of gifts from the previous Loyalty Program cycle in August 2025). At the same time, gifts under the Loyalty Program to such Partners will be issued in August 2025 according to the previous conditions, according to the NATUIR Loyalty Program, valid until July 31, 2025, but such Partners will start a new circle (cycle) of the Loyalty Program under the new Loyalty Program, valid from August 1, 2025.

Partners who are at the 2nd, 3rd or 4th stage (month) of the Loyalty Program cycle in August 2025 have the right to complete their cycle according to the terms of the Loyalty Program, valid until July 31, 2025. After this cycle is completed, such Partners will automatically be transferred to the new Loyalty Program effective from August 1, 2025.

NATUIR Loyalty Program from August 1, 2025

NATUIR Partners who have placed orders of 100 CV or more for four consecutive calendar months participate in the NATUIR Loyalty Program.

CV points of each stage are accrued/calculated based on the results of the calendar month.

A Partner who has placed orders of 100 CV or more in one calendar month for four consecutive months, together with an order of 100 CV or more made in the fifth month, will receive 6 NATUIR products that NATUIR has identified as gifts under the NATUIR Loyalty Program.

The fifth month in which the Partner made his order** and received gifts under the NATUIR Loyalty Program is considered the first month for calculating the next round of the NATUIR Loyalty Program for this Partner.

In the absence of regular monthly orders of 100 CV or more, a new cycle (first month) under the Loyalty Program of each individual Partner begins in the month in which this Partner makes a volume of 100 CV or more during the calendar month. If the Partner decided not to place his orders in the month following the fifth or did not place orders for four months in a row, then he does not participate in the NATUIR Loyalty Program. He can participate in the program again by placing his main orders for four consecutive months.

Gifts under the NATUIR Loyalty Program are issued in full exclusively together with the main order of the NATUIR Partner made in the fifth month and cannot be sent separately from the main order of the Partner, nor can they be attached to the order of another NATUIR Partner.

If the NATUIR Partner does not place his order in the fifth calendar month, then his gift is canceled.
NATUIR is not liable as a result of the Partner’s loss of his gifts under the NATUIR Loyalty Program and will not compensate for lost profits or any other lost profits, moral damages and injuries resulting from the Partner’s loss of his gifts under the NATUIR Loyalty Program.

NATUIR Loyalty Program until July 31, 2025

The NATUIR Loyalty Program involves NATUIR Partners who have placed orders for 100 CV and 200 CV for four calendar months in a row.

That Partner who, for four months in a row, made orders totaling from 100 CV to 199 CV in one calendar month, then together with his order made in the fifth month, he will receive 6 NATUIR products, which NATUIR has identified as gifts for the NATUIR 100 Loyalty Program . 

That Partner who, for four consecutive billing periods, made orders for 200 CV or more in one calendar month, then together with his order made in the fifth month, he will receive 12 NATUIR products, which NATUIR has identified as gifts for the NATUIR 200 Loyalty Program. 

The fifth month in which the Partner made his order** and received gifts under the NATUIR Loyalty Program is considered the first month for calculating the next round of the NATUIR Loyalty Program for this Partner.

In the absence of regular monthly orders of 100 CV or more, a new cycle (first month) under the Loyalty Program of each individual Partner begins in the month in which this Partner makes a volume of 100 CV or more during the calendar month. If the Partner decided not to place his orders in the month following the fifth or did not place orders for four months in a row, then he does not participate in the NATUIR Loyalty Program. He can participate in the program again by placing his main orders for four consecutive months.

Gifts under the NATUIR Loyalty Program are issued in full exclusively together with the main order of the NATUIR Partner made in the fifth month* and cannot be sent separately from the main order of the Partner, nor can they be attached to the order of another NATUIR Partner.

Points are calculated based on the results of the calendar month. If a Partner made orders for three months in the amount of 200 CV or more, and in one of the months made an order from 100 CV to 199 CV, then he can count on a gift of 6 NATUIR Products, as a participant in the NATUIR 100 Loyalty Program.

If the NATUIR Partner does not place his order in the fifth calendar month, then his gift is canceled*.
NATUIR is not liable as a result of the Partner’s loss of his gifts under the NATUIR Loyalty Program and will not compensate for lost profits or any other lost profits, moral damages and injuries resulting from the Partner’s loss of his gifts under the NATUIR Loyalty Program.

* The exception is the billing period of the NATUIR Loyalty Program from March 2024 to June 2024. Partners who participated in the NATUIR Loyalty Program with their orders during this period can receive their gifts with one of the orders in July or until the end of August 2024.

** The order must contain products with a CV base.
